Join Law for Entrepreneurs on Thursday, October 18, 2018, to enjoy coffee and a discussion on how to structure “partnerships” or multi-owner entities, whether a multi-shareholder corporation, a multi-member limited liability company or a limited or general partnership, as well as how to raise and structure equity capital generally. General Information About Law for Entrepreneurs: Law for Entrepreneurs is a networking and lecture event for NYC entrepreneurs interested in learning and meeting like-minded people. Based around a recurring series of relevant lecture topics, as well as occasional special topics, the events help entrepreneurs gain: • a basic understanding of how to select and form a business entity, whether a corporation, limited liability company or partnership; • a basic understanding of how to structure “partnerships,” whether in the form of a multi-shareholder corporation, a multi-member limited liability company or an actual limited or general partnership, as well as how to raise and structure equity capital; • a basic understanding of U.S. securities laws, including commonly used exemptions from registration; • a more in-depth understanding of early-stage priced equity financings, focusing on series seed preferred stock financings; • a more in-depth understanding of early-stage financings using convertible instruments, including convertible notes and SAFEs (simple agreements for future equity); and • a more in-depth understanding of how to acquire businesses, both from a process and deal structuring perspective.
